Welcome to Elevate Washington, the sole property of and managed by School’s Out Washington.
1. Terms of Service
Please read these Terms carefully. By accessing or using Elevate Washington or any content made available on https://www.elevatewashington.org (the “Website” ), you agree to be bound by these Terms and the privacy policy of School’s Out Washington, available at https://www.schoolsoutwashington.org/pages/privacy-policy. Any new features or tools which are added to the current Service will also be subject to these Terms. School’s Out Washington reserves the right to update and change these Terms in its sole discretion. All changes are effective immediately when we post them on the Website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you. If you do not agree with the revised Terms of Service, you should discontinue your use of the Website and Elevate Washington.
2. Services
You may use Elevate Washington to access aggregated data relating to your affiliated Organization and its associated Sites (collectively, the “Services”).
3. Account Registration Conditions
To access and use the Services or Elevate Washington, you must register for a Elevate Washington account (“Account”) by providing your full legal name, a valid email address, a password, and any other required information on the registration form (which may change from time to time). School’s Out Washington (SOWA) may reject your application for an Account, or cancel an existing Account, for any reason, in our sole discretion.You must be an individual associated with a youth development organization (“Organization”) in order to register as a Youth Professional, or on behalf of an Organization or Site (“Administrator”).
If you are registering as a Youth Professional, you will be deemed the contracting party to these Terms and the owner of the Account (“Account Owner”). To register as a Youth Professional, you must be 15 years or older. You agree that your registration as a Youth Professional is subject to approval by the Administrator of your affiliated Organization, Site, or SOWA administrator.
If you are registering on behalf of an Organization or Site, then (i) the Account Owner is the Organization or the entity responsible for the Site (“Relevant Entity”) (whichever is applicable), and (ii) you represent and warrant that you are 18 years or older, and you have the authority to bind the Organization or Relevant Entity to these Terms, to use and access the Account and Services on behalf of the Organization or Relevant Entity, and to provide information to Elevate Washington on behalf of the Organization or Relevant Entity.
If you are registering as a Site, you agree that your registration is subject to approval by the Administrator of your affiliated Organization.
If you are registering as an Organization, you agree that your registration is subject to approval by School’s Out Washington.
You acknowledge that School’s Out Washington may use the personal or professional email address and contact number provided by you during registration as the primary method of communication.
You are responsible for keeping your Account and password secure. School’s Out Washington will not be liable for any loss or damage arising from your failure to maintain the security of your Account and password.
All information provided in relation to an Account must be true, current, and accurate. Any information provided by you in relation to an Account may be edited by you at any time. School’s Out Washington reserves the right, at any time in its sole discretion, to request documentation to determine or confirm Account ownership. Such documentation may include, but is not limited to, a scanned copy of your business license or a government issued photo ID. In the event of a dispute regarding Account ownership, School’s Out Washington reserves the right to determine, in its sole judgment, the rightful ownership of an Account and transfer an Account to the rightful owner. If we are unable to determine the rightful Account Owner, School’s Out Washington reserves the right to temporarily disable an Account until resolution is reached between the disputing parties.
School’s Out Washington may immediately terminate or suspend your Account if you breach any of these Terms.
4. User Obligations
You may not use Elevate Washington, the Website or the Services for any unlawful or unauthorized purpose, or in a manner which is inconsistent with these Terms. You will comply with all applicable laws, rules and regulations in your use of Elevate Washington, the Website, and the Services. Abusive communications of any kind (including threats of abuse or retribution), as well as profanity, are strictly prohibited and will result in immediate Account termination. You must not interfere or attempt to interfere with the proper working of the Website or Elevate Washington.
5. Information Provided to Elevate Washington
You agree that School’s Out Washington may access, view and use all information provided by you to Elevate Washington (“Account Information”). School’s Out Washington may freely use, distribute, reproduce and display Account Information for its internal purposes. School’s Out Washington may also use Account Information to create reports which display or contain Account Information in aggregated form. Such reports may be freely used, distributed, modified, reproduced, displayed, or otherwise exploited by School’s Out Washington. School’s Out Washington may modify your Account Information (i) pursuant to your reasonable request to update or change any Account Information (such modification must be true, current and correct), or (ii) if such Account Information is incorrect or in violation of these Terms, any third party’s intellectual property, or any applicable laws or regulations.
You agree that your Account Information may be viewed and accessed as follows:
- If you are a Youth Professional, your Account Information may be accessed and viewed by a SOWA Administrator;
- If you are a Site, your Account Information may be accessed and viewed by your affiliated Organization’s Administrator;
- If you are an Organization, your Account information will only be accessed and viewed by your Organization’s Administrator; and
- Your Account Information may be accessed and viewed in aggregated form, regardless of whether you are an Organization, Site, or Youth Professional, as part of the Services.
6. Intellectual Property and Authorized Use of Materials of School’s Out Washington
The Website, Elevate Washington and any content made available through the Services (including reports) (“Content”) are protected by copyright, trademark, and other intellectual property and proprietary rights and laws, and are owned by School’s Out Washington.
Certain names, words, titles, phrases, logos, icons, graphics, designs or other content on the Website are trade names or trademarks owned by School’s Out Washington or third parties, and may not be used without permission.
You may not use the Content, Website, Services or Elevate Washington to derive a commercial benefit or financial gain, including making the Website or Elevate Washington available to third parties, or charging a fee for using or accessing the Services or Elevate Washington. You may not directly use, or indirectly change, recompile, or manipulate any of the information, compilations or aggregated data made available through Elevate Washington for commercial gain.
Except as expressly provided under these Terms, you may not modify, copy, distribute, transmit, display, perform, or reproduce the Content, or any information or services obtained from the Website or Elevate Washington without prior written consent from School’s Out Washington.
If you believe any material available on the Website or Elevate Washington violates your intellectual property rights, you may request that School’s Out Washington remove such material from the Website or Elevate Washington.
7. Modifications to the Services, Website or Elevate Washington
School’s Out Washington reserves the right to modify or terminate, temporarily or permanently, the Services, Website, or Elevate Washington, for any reason, at any time, with or without notice. You agree that School’s Out Washington will not be liable to you or to any third party for any modification, suspension or termination of the Services, Website, or Elevate Washington.
8. Cancellation and Termination
You may cancel your Account at any time by emailing info@elevatewashington.org and then following the specific instructions provided to you by School’s Out Washington. Upon termination of your Account by either party for any reason, School’s Out Washington will cease providing you with the Services and you will no longer be able to access your Account.
9. Limitation of Liability, Indemnification and Disclaimer
You expressly understand and agree that School’s Out Washington shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Services, Website, or Elevate Washington. Direct damages are limited to ten dollars.
You agree to indemnify School’s Out Washington, its affiliates, directors, officers, employees, consultants, and agents from any costs or damages of any kind, including reasonable attorneys’ fees, arising from a claim or demand made by any third party relating to (i) your use of the Website, Services or Elevate Washington, (ii) your breach of these Terms, or (iii) your violations of any applicable laws or regulation or rights of another.
- The Services, the Website, and Elevate Washington are provided “as is” and “as available” without any warranties, representations or conditions of any kind, whether express or implied.
- School’s Out Washington makes no representations, warranty or guarantee that the Service, Website or Elevate Washington will be uninterrupted, timely, secure, or error-free.
- School’s Out Washington does not warrant that the results obtained from the use of the Services or Elevate Washington will be accurate or reliable.
- School’s Out Washington will not be liable for any omissions or errors of the Services, Website or Elevate Washington.
10. General
These Terms and the relationship between you and School’s Out will be governed and construed by the laws of the State of Washington and the applicable laws of the United States of America, without regard to conflict of laws provisions. You hereby consent and submit to the personal and exclusive jurisdiction of the state and federal courts of the State of Washington in any action or dispute related to these Terms.
The failure of School’s Out Washington to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.These Terms of Service and other terms herein incorporated by reference, constitute the entire agreement between you and School’s Out Washington, and govern your use of the Services, Website and Elevate Washington, superseding any prior agreement, whether oral or written.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full effect.
